Publisher Earnings & Payments
Publishers will receive earnings based on valid, nonfradualent, clicks that take place on their Web Sites. These earnings are subject to audit and fraud reviews and are not final until paid. Payments are based on GeoAds data as defined, accounted, and audited by GeoAds. All accounts will be settled in United States dollars ($US) and no payments will be issued for any amounts less than $50. Any amounts less than $50 will carry over to the next month. Every Publisher account (where applicable) must have a unique taxpayer identification number (TIN), or Social Security Number and must provide all information requested by GeoAds before any payments will be released. Publishers are responsible for maintaining the correct contact and payment information associated with their accounts. This must be done online using the GeoAds Web Site. Returned or cancelled payment bank/service fees due to any error in Publisher contact or payment information are the Publishers responsibility, and will be deducted from Publisher account balance. Payments to Publishers residing in the United States will be made via check or PayPal. Payments to Publishers residing outside of the United States will be made soley via PayPal, baring any laws or regulations which prohibit payment to certain countries. Any fees incurred by Publisher as a result of payments, including but not limited to bank fees and PayPal fees, are the sole responsibility of Publisher.
Fraudulent Impressions & Clicks
Any method to artificially and/or fraudulently inflate the volume of impressions or clicks is strictly forbidden. Counts of impressions or clicks will be decided solely on the basis of reports generated by GeoAds. These prohibited methods include but are not limited to: framing an ad-banner's click-through destination, auto-spawning of browsers, blind text links, running 'spiders' against the Publisher's own website, automatic redirecting of users, pop-up windows or any other technique of generating automatic or fraudulent (as determined by GeoAds, acting reasonably, or based on industry practices) click-throughs and/or impressions. GeoAds code may not be placed on a page which reloads automatically. Publisher may not require users to click on ads prior to entering a Web Site or any area therein or provide incentives of any nature to encourage or require users to click on ads. Publisher’s clicks-throughs of any link other than GeoAds ads, or use of any other means of artificially enhancing click results shall be a material breach of this Agreement and grounds for forefiture of earnings and cancellation of your account.
Waiver; Severability; No Third Party Beneficiaries
No waiver by GeoAds, whether express or implied, of any provision of these Terms shall constitute a continuing waiver of such provision or a waiver of any other provision of these Terms; nor shall GeoAds be stopped from enforcing any provision of these Terms, except by written instrument executed by GeoAds. If any provision of these terms and conditions shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions. You agree that, except as may otherwise be expressly provided herein, there shall be no third party beneficiaries to these Terms.
Termination
Notwithstanding any of these Terms, GeoAds reserves the right, without notice and in its sole discretion, to terminate your license to use this Site, and to block or prevent future access to and use of this Site. These Terms may not be otherwise amended except in a written document signed by GeoAds.
Modification & Amendments
GeoAds reserves the right to amend at any time any policies governing this Site, including these Terms, by posting the amended terms and providing notice of such amendments. The amended terms shall be effective immediately after they are initially posted on this Site. If you do not agree with any amended term, you must cease using this Site, Software and all Services.
Applicable Law and Venue; Statute of Limitations
Any claim or cause of action arising out of or related to use of the Site, the Services or the Terms will be settled in binding arbitration administered by Judicial Arbitration and Mediation Services, Inc. pursuant to its Comprehensive Arbitration Rules and Procedure (the "Rules"). Any such controversy or claim must be arbitrated on an individual basis, and must not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration must be conducted in Overland Park, Kansas, USA, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or GeoAds may seek any interim or preliminary relief from only the state or federal courts with jurisdiction over Overland Park, Kansas, as necessary to protect the rights or property of you or GeoAds, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts in such instances. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site, the Software, the Services or the Terms must be made within one (1) year after such claim or cause of action arose or be forever barred.
